Denton’s Warsaw office advise GEO Renewables on wind farms’ sale
Law firm Dentons' Warsaw energy and natural resources team has advised Grupa Energetyki Odnawialnej (GEO Renewables) on share deals involving wind farm projects in Poland
The first deal involved the sale to IKEA of shares in the Lubartów wind farm, while the second saw an exchange of shares in the Ilza, Jedrzychowice and Zgorzelec projects to EDP Renewables.
Dentons said both transactions were completed in March.
For the IKEA deal, the law firm said it negotiated an amendment to the conditional share purchase agreement, and prepared the documentation related to the share transfer and financial closing.
On the EDPR transaction, Dentons negotiated the share swap agreement and subsequent annexes and the completion documentation, including the sale of shares in Polish and Cypriot companies.
Dentons Poland managing partner and head of the energy practice in Poland and Europe Arkadiusz Krasnodebski supervised the team on both projects.
The law firm said counsel Agnieszka Kulinska from the energy group in Warsaw led the work with support from associate Jan Dubinski.
